Terms & Conditions

1. Acceptance of Terms

By accessing, using, or contracting services from Global Bridge Freight (“GBF,” “we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to comply with and be bound by these Terms and Conditions (“Terms”). If you represent an entity, you warrant you have authority to bind it. These Terms supersede all prior agreements.

2. Services

GBF provides global logistics services, including but not limited to:

  • Freight forwarding (Ocean, Air, Road)
  • Warehousing & Distribution
  • Packaging & Cargo Security
  • Real-Time Tracking
  • Supply Chain Management
  • Customs Brokerage
  • Payment Processing
    Service specifics are outlined in separate agreements, quotes, or work orders (“Service Agreements”).

3. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely shipment information (e.g., weight, dimensions, value, hazardous materials).
  • Obtain all necessary licenses, permits, or authorizations for your cargo.
  • Comply with all applicable laws (export/import, sanctions, dangerous goods).
  • Pay all fees, taxes, duties, and surcharges as invoiced.
  • Insure cargo to its full value (GBF liability is limited per Section 9).

4. Quotations & Pricing

  • Quotations are valid for 30 days unless stated otherwise.
  • Prices exclude taxes, duties, fuel surcharges, currency fluctuations, or unforeseen costs (e.g., demurrage, storage).
  • GBF reserves the right to adjust pricing for changes in shipment details, regulations, or market conditions.

5. Payment Terms

  • Payment is due within 30 days of invoice date unless otherwise agreed.
  • Late payments incur interest at 1.5% per month (or the maximum permitted by law).
  • GBF may suspend services for overdue accounts.
  • All payments are non-refundable except where required by law.

6. Cargo Liability & Limitations

  • GBF acts as an agent only and assumes liability only for its own negligence.
  • Maximum Liability:
    • Ocean Freight: USD 500 per shipment or USD 2.00 per kg (whichever is lower), per COGSA/Hague-Visby Rules.
    • Air Freight: 19 SDR/kg per Warsaw/Montreal Convention.
    • Road Freight: Local carrier limits or USD 25/kg, whichever is lower.
    • Warehousing: USD 5.00 per kg or USD 500 per shipment, whichever is lower.
  • GBF is not liable for:
    • Indirect, consequential, or punitive damages (e.g., lost profits).
    • Force majeure events (Section 10).
    • Client errors (e.g., misdeclaration, inadequate packaging).
    • Acts of third parties (e.g., carriers, customs).

7. Cargo Insurance

GBF offers cargo insurance as an optional service. If declined, you assume all risk of loss/damage. Claims must be filed within 9 months of delivery.

8. Tracking & Technology

  • Real-Time Tracking data is provided “as-is.” GBF does not guarantee uninterrupted accuracy or timeliness.
  • You are responsible for securing your login credentials. Unauthorized use must be reported immediately.

9. Force Majeure

GBF is not liable for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters, pandemics, wars, terrorism
  • Government actions, strikes, port/airport closures
  • Carrier failures, IT outages, utility disruptions

10. Termination

Either party may terminate with 30 days’ written notice. GBF may terminate immediately for:

  • Material breach (e.g., non-payment, illegal cargo)
  • Insolvency or bankruptcy of the Client
  • Fraud or misrepresentation

11. Confidentiality

Both parties agree to protect non-public information exchanged during service provision. This obligation survives termination.

12. Intellectual Property

All GBF trademarks, technology, and content (e.g., website, tracking systems) remain our exclusive property.

13. Governing Law & Disputes

  • These Terms are governed by the laws of England and Wales, excluding its conflict-of-laws principles.
  • Disputes will be resolved in London courts or via binding arbitration under ICC Rules.

14. Indemnification

You agree to indemnify GBF against claims arising from:

  • Your breach of these Terms
  • Misdeclaration of cargo
  • Violation of laws or third-party rights

15. Amendments

GBF may update these Terms with 30 days’ notice. Continued use constitutes acceptance.

16. Severability

If any provision is deemed unenforceable, the remaining Terms remain in full effect.
